Terms of Service
§1Acceptance of Terms
By accessing or using Cyc (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a binding agreement between you and Cyc ("we," "us," or "our").
§2Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement and that you have the authority to enter into these Terms.
§3Access and License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose: participation in a specific theatrical production's private company feed. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the App except as expressly permitted.
§4Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use. We may suspend or terminate accounts at our discretion.
§5User Content
You retain ownership of content you post ("User Content"). By posting, you grant us a worldwide, royalty-free, non-exclusive license to host, display, and distribute your User Content within the App for the purpose of operating the service.
You are solely responsible for your User Content. You agree not to post content that is unlawful, defamatory, harassing, infringing, obscene, or otherwise objectionable.
THERE IS NO TOLERANCE FOR OBJECTIONABLE CONTENT OR ABUSIVE USERS. This is a condition of using Cyc, not a preference. Objectionable content will be removed and the accounts responsible may be suspended or terminated without notice.
You can report any post, photo, or person from within the App, and you can block any user at any time. A block removes that person's content from your view immediately, stops all messaging between you, and notifies us so we can review it.
WE ACT ON REPORTS OF OBJECTIONABLE CONTENT WITHIN 24 HOURS. Every report reaches us directly. We review it and, where warranted, remove the content and terminate the account responsible. Content reported by several members is hidden automatically in the meantime. We do not require a report before acting, and we do not require the reporter to justify themselves.
§6Acceptable Use
You agree not to: (a) use the App for any unlawful purpose; (b) harass, abuse, or harm other users; (c) attempt to gain unauthorized access to the App or its systems; (d) upload malicious code; (e) scrape, data-mine, or use automated systems to access the App; or (f) misrepresent your identity in a way intended to deceive or harm others.
§7Intellectual Property
The App, including its design, code, visual identity, text, graphics, and all associated materials (excluding User Content), is owned by us and protected by copyright and other intellectual property laws. All rights not expressly granted are reserved. No ownership rights are transferred to you by these Terms or your use of the App.
§8Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
§9Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND ANYONE INVOLVED IN CREATING OR OPERATING THE APP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.
§10Indemnification
You agree to indemnify and hold harmless us and our affiliates, contributors, and collaborators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your User Content, or your violation of these Terms.
§11Termination
We may suspend or terminate your access to the App at any time, with or without cause or notice. Upon termination, your license to use the App ends immediately.
§12Changes to These Terms
We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the revised Terms.
§13Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Alameda County, California.
