By accessing or using Cyc (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a binding agreement between you and Cyc ("we," "us," or "our").
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement and that you have the authority to enter into these Terms.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose: participation in a specific theatrical production's private company feed. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the App except as expressly permitted.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use. We may suspend or terminate accounts at our discretion.
You retain ownership of content you post ("User Content"). By posting, you grant us a worldwide, royalty-free, non-exclusive license to host, display, and distribute your User Content within the App for the purpose of operating the service.
You are solely responsible for your User Content. You agree not to post content that is unlawful, defamatory, harassing, infringing, obscene, or otherwise objectionable. We reserve the right, but not the obligation, to remove any User Content at our discretion.
You agree not to: (a) use the App for any unlawful purpose; (b) harass, abuse, or harm other users; (c) attempt to gain unauthorized access to the App or its systems; (d) upload malicious code; (e) scrape, data-mine, or use automated systems to access the App; or (f) misrepresent your identity in a way intended to deceive or harm others.
The App, including its design, code, visual identity, text, graphics, and all associated materials (excluding User Content), is owned by us and protected by copyright and other intellectual property laws. All rights not expressly granted are reserved. No ownership rights are transferred to you by these Terms or your use of the App.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND ANYONE INVOLVED IN CREATING OR OPERATING THE APP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.
You agree to indemnify and hold harmless us and our affiliates, contributors, and collaborators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your User Content, or your violation of these Terms.
We may suspend or terminate your access to the App at any time, with or without cause or notice. Upon termination, your license to use the App ends immediately.
We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Alameda County, California.
